These Terms of Service ("Terms") govern your access to and use of Drite ("the Service"), operated by Drite ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Drite provides an operating system for businesses, including organization management, identity and access management, hiring, banking and payments, invoicing, marketing, and a layer of AI agents that perform automated tasks on your behalf. The Service is provided "as is" and may evolve over time.
2. Eligibility and account
- You must be at least 18 years old and legally able to enter into a contract.
- You must provide accurate and complete information when creating your account.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must promptly notify us of any unauthorized access.
3. Acceptable use
You agree not to:
- Use Drite for any unlawful, fraudulent, or harmful purpose.
- Violate any applicable laws or regulations, including financial, tax, employment, and data protection laws.
- Infringe on the intellectual property rights of others.
- Attempt to gain unauthorized access to the Service or other accounts.
- Reverse-engineer, scrape, or otherwise misuse the Service or its APIs.
- Use the Service to transmit malware, viruses, or any malicious code.
- Resell or redistribute the Service without our written permission.
- Use the Service for any prohibited business type listed in our Acceptable Use Policy.
4. Customer data and ownership
You retain ownership of all data you submit to Drite ("Customer Data"). You grant us a limited license to process Customer Data only as necessary to provide the Service, including by routing it to our subprocessors and the AI agents you enable. We do not use Customer Data to train foundation models for other customers.
5. AI agents
Drite operates AI agents that take automated actions on your behalf — including sending messages, scheduling payments, posting content, and creating records in third-party systems. You are responsible for reviewing and configuring the agents you enable. High-stakes actions require your explicit approval before execution. Agents may make mistakes; you remain responsible for the results of actions taken on your behalf.
6. Fees and billing
- Plans, pricing, and usage limits are described on our pricing page or in your subscription agreement.
- Fees are billed in advance on a recurring basis unless stated otherwise.
- You authorize us to charge your designated payment method.
- Fees are non-refundable except where required by law or expressly stated in these Terms.
- We may change pricing on renewal with at least 30 days' notice.
7. Payments and financial services
Banking, card issuance, payment processing, and payroll features are provided through licensed financial partners. By using these features, you also agree to the terms of the relevant partner. We do not hold a banking license and act as a technology layer on top of regulated providers.
8. Third-party services
Drite integrates with third-party services (such as payment processors, email providers, and marketplace apps). Your use of those services is governed by their own terms and we are not responsible for their availability or content.
9. Confidentiality
Each party agrees to protect the other party's confidential information using the same care it uses to protect its own confidential information, but no less than reasonable care.
10. Suspension and termination
We may suspend or terminate your access to the Service immediately, without notice, if you violate these Terms, fail to pay fees, or engage in fraudulent or abusive activity. You may cancel your account at any time from within Drite. Sections that by their nature should survive termination will survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRITE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Drite and its affiliates from any claims arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated by email or in the Drite product. Continued use of the Service after changes take effect constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Drite is incorporated. Any dispute will be resolved in the courts of that jurisdiction, unless mandatory law requires otherwise.
